1. Identity of the service provider
1.1 These terms and conditions apply to all offers, agreements, and the use of the platform and services of:

1.2 In these terms, "RecensioAI", "we", "us" or "our" refers to: RecensioAI B.V..
1.3 "Client" refers to: any natural or legal person acting in the exercise of a profession or business who enters into an agreement with RecensioAI or uses the platform.
1.4 "Platform" refers to: the software platform offered by RecensioAI, including dashboard, integrations, AI functionalities, review requests, feedback flows, widgets, reports, add-ons, and related online services.
1.5 "Agreement" refers to: any agreement between RecensioAI and Client, including subscriptions, add-ons, additional services, trial periods, quotations, and online orders.
1.6 These terms are primarily written for business clients. If mandatory regulations apply that cannot be deviated from, those regulations take precedence over these terms.
2. Applicability and hierarchy
2.1 These terms and conditions apply to all quotations, agreements, orders, subscription types, trial periods, add-ons, additional services, and all use of the Platform.
2.2 Deviations from these terms are only valid if confirmed in writing or electronically by RecensioAI.
2.3 General terms and conditions of the Client are expressly rejected, unless RecensioAI has previously accepted them in writing.
2.4 In case of conflict, the following hierarchy applies:
- a custom agreement or quotation signed by both parties,
- an order or checkout confirmed by RecensioAI,
- a specific add-on or service description,
- these general terms and conditions.
3. Formation of the agreement
3.1 An agreement is formed at the moment that:
- Client places an order online and this is confirmed by RecensioAI,
- Client creates an account and activates a paid or trial subscription, or
- a quotation or proposal is accepted by Client.
3.2 RecensioAI may refuse a request or order without stating reasons or may impose additional conditions.
3.3 Obvious errors, mistakes, or typographical errors in quotations, on the website, in price listings, or in other communications do not bind RecensioAI.
4. The services
4.1 RecensioAI offers software and additional services to support online reputation management and review management, including, where applicable:
- collecting and centralizing reviews from external platforms,
- sending review requests via email, SMS, WhatsApp, QR codes, or other channels,
- collecting private feedback,
- AI-assisted review responses,
- widgets, social sharing, and reports,
- dashboards, notifications, analytics, and automations,
- add-ons and additional services such as websites, onboarding, support, growth, and marketing services.
4.2 RecensioAI is a software and service platform and does not guarantee specific commercial results, rankings, review numbers, revenue growth, lead growth, reputation improvement, or removal of negative reviews.
4.3 Examples, testimonials, statistics, demos, marketing texts, and case studies on the website or in sales material serve solely as illustrations and do not constitute a guarantee of results.
4.4 RecensioAI may modify, expand, limit, or replace the functionalities of the Platform if this is reasonably necessary for maintenance, security, legal compliance, product development, or business operations.
5. Admission and use
5.1 Client declares and guarantees that:
- they are at least 18 years old,
- they are authorized to enter into legally binding contracts,
- they are acting on behalf of a business or for business purposes,
- all information provided is correct, complete, and up to date.
5.2 Client may only use the Platform for their own internal business purposes and in accordance with these terms, the law, and applicable third-party terms.
5.3 Client is not permitted to:
- copy, sell, rent, sublicense, or make the Platform or parts thereof available to third parties,
- apply reverse engineering or decompilation,
- circumvent or test security measures without permission,
- use the Platform for spam, deception, fake reviews, unlawful scraping, or other unlawful purposes,
- send review requests without a valid legal basis or in violation of applicable privacy, telecom, or platform rules.
6. Account and security
6.1 An account may be required to use the Platform.
6.2 Client is responsible for:
- the accuracy of account information,
- keeping login credentials confidential,
- all activities that take place via their account.
6.3 Client must immediately report suspected abuse, loss of access credentials, or unauthorized access to RecensioAI.
6.4 RecensioAI may temporarily block or terminate accounts if there is a security risk, abuse, incorrect information, non-payment, or violation of these terms.
7. Client obligations
7.1 Client is fully responsible for the content, accuracy, legality, and use of all data, texts, reviews, responses, contact details, campaigns, media files, and other content processed via the Platform.
7.2 Client guarantees that they have all necessary rights, permissions, and legal bases for:
- uploading and processing data,
- sending review requests, SMS messages, emails, WhatsApp messages, or other communications,
- using names, images, testimonials, and other content,
- linking third-party accounts and integrations.
7.3 Client remains responsible for compliance with GDPR, ePrivacy rules, telecommunications rules, consumer law where applicable, and the guidelines and terms of external review and communication platforms.
7.4 RecensioAI is not obliged to actively monitor content entered or processed by Client and is not liable for the content or consequences thereof.
8. AI functionalities, review flows, and third-party integrations
8.1 RecensioAI may use AI to generate review responses, draft texts, analyses, or suggestions.
8.2 Client acknowledges that AI output is automatically generated and may contain inaccuracies, omissions, undesirable wording, or other errors.
8.3 Client remains responsible for reviewing, approving, adjusting, and publishing AI-generated output, unless expressly agreed otherwise in writing.
8.4 RecensioAI may offer connections with third-party services, such as Google, Facebook, Trustpilot, TripAdvisor, Booking.com, WhatsApp, email providers, payment providers, and other platforms or APIs.
8.5 RecensioAI is not responsible for:
- changes in APIs, terms, or functionalities of third parties,
- outages, blockades, sanctions, or restrictions by third parties,
- the removal, rejection, or non-placement of reviews by third parties,
- the fact that negative reviews may still appear publicly outside the flows managed by RecensioAI.
8.6 Client is responsible for compliance with all terms of these third parties.
9. Subscriptions, add-ons, support, and onboarding
9.1 Access to the Platform is granted based on a subscription, optionally supplemented with add-ons, additional services, or custom work.
9.2 Unless expressly agreed otherwise, the features, limits, included support, and rates listed on the pricing page, checkout, or quotation at the time of ordering apply.
9.3 Email support and WhatsApp support are included in every active subscription on a fair-use basis.
9.4 Phone support is included according to the chosen plan, as listed on the pricing page, checkout, or quotation. Currently, the following applies in principle:
- START: 30 minutes of phone support per calendar month,
- PRO: 60 minutes of phone support per calendar month,
- MULTI: 120 minutes of phone support per calendar month.
9.5 Support from RecensioAI is available during office hours, Monday through Friday, excluding public holidays in the Netherlands. RecensioAI strives to answer questions and requests as quickly as reasonably possible but does not guarantee a specific response time unless expressly agreed otherwise in writing.
9.6 Unused phone support minutes expire at the end of the relevant calendar month. Minutes are non-transferable, non-exchangeable for money, and do not carry over to the next month.
9.7 Additional phone support beyond the included minutes is charged at the then-applicable rate. Unless otherwise stated, the current rate is €20 excl. VAT per started quarter hour. Additional support is invoiced monthly in arrears.
9.8 One-time standard onboarding is included with the first activation of a new account, as listed on the pricing page, checkout, or quotation. Onboarding only covers the standard startup guidance as described by RecensioAI. Additional setup, customization, migrations, import work, extra training, or support beyond standard onboarding may be charged separately.
9.9 If Client cancels the subscription and reactivates it at a later time, RecensioAI may charge onboarding and/or reactivation fees in accordance with the then-applicable prices.
9.10 Additional terms, scopes, rates, and durations may apply to add-ons and additional services, including but not limited to websites, SEO, SEA, Growth+, customization, consultancy, extra support, extra onboarding, imports, domains, integrations, or third-party costs.
9.11 Unless stated otherwise, an add-on in principle follows the duration and renewal of the main subscription to which it is linked.
10. Prices, invoicing, and payment
10.1 All prices on the website, in quotations, and in communications from RecensioAI are exclusive of VAT and other charges, unless expressly stated otherwise.
10.2 Monthly subscriptions are in principle invoiced monthly in advance. Annual subscriptions are in principle invoiced annually in advance. Variable costs, additional work, extra support, and other additional costs may be invoiced monthly in arrears.
10.3 Payment is made via the payment method offered by RecensioAI, such as online payment, automatic debit, payment provider, or invoice, in accordance with the payment method offered at that time.
10.4 If payment is made by invoice, a payment term of 14 days from the invoice date applies, unless otherwise agreed in writing.
10.5 In case of late payment, Client is in default by operation of law. RecensioAI may then, without further notice of default:
- charge statutory commercial interest and reasonable collection costs,
- suspend access to the Platform in whole or in part,
- declare outstanding amounts immediately due and payable,
- suspend future deliveries or services.
10.6 Client is not entitled to set-off, suspension, or withholding of payments, except to the extent that mandatory law permits this.
11. Trial period
11.1 If RecensioAI offers a free trial period, the specific terms as stated on the website, checkout, or promotion apply.
11.2 Unless stated otherwise, a trial period is one-time per client, business, or account environment.
11.3 The trial period is not automatically converted into a paid subscription. If Client wishes to continue using the Platform after the trial period ends, Client must timely provide the required billing information, payment method, and other necessary details and actively confirm or activate the paid subscription.
11.4 If Client does not provide valid billing information and payment method and does not activate a paid subscription before the end of the trial period, the trial period ends automatically and access to the Platform stops, without subscription costs being charged.
11.5 RecensioAI may refuse, limit, terminate, or invalidate a trial period in cases of abuse, duplicate registration, or for other reasonable grounds.
12. Duration, renewal, and cancellation
12.1 A monthly subscription is entered into for one month and is thereafter tacitly renewed for one month at a time, unless cancelled before the next renewal date.
12.2 An annual subscription is entered into for one year and is thereafter tacitly renewed for one year at a time, unless cancelled at least 1 day before the renewal date.
12.3 Cancellation can be done via the client account, the designated payment environment, by email, or in another manner designated by RecensioAI.
12.4 After cancellation, access to the Platform remains active until the end of the already paid subscription period, unless there is a suspension or termination due to breach, abuse, or another urgent reason.
12.5 Early termination of a current paid term does not give rise to a refund, pro rata repayment, or credit, unless otherwise agreed in writing or mandatory law requires this.
13. Price changes
13.1 RecensioAI may adjust rates, fees, plan content, and pricing structures from time to time.
13.2 A price change may be based on inflation, rising labor and operating costs, hosting and cloud costs, third-party software and license costs, telecom and messaging costs, payment provider costs, changes in taxes or levies, exchange rates, legal or regulatory changes, supplier negotiations, and general market conditions.
13.3 For monthly subscriptions, a price change applies in principle from the next subscription period, provided RecensioAI notifies Client at least 30 days in advance.
13.4 For annual subscriptions, a price change applies in principle from the next renewal. Changes in taxes, levies, or direct third-party costs necessary for the delivery of the service may also be implemented during the term, provided RecensioAI informs Client in advance as soon as reasonably possible.
13.5 If a price increase is materially adverse to Client and does not exclusively result from statutory VAT or levy changes, Client may terminate the agreement as of the date the price change takes effect, provided the cancellation is received by RecensioAI in writing or electronically before that date.
13.6 Published prices replace previous price listings. A written confirmed quotation or custom agreement takes precedence over the website.
14. Suspension and termination by RecensioAI
14.1 RecensioAI may immediately suspend or terminate access to the Platform in whole or in part if:
- Client violates these terms,
- Client does not pay on time,
- there is fraud, abuse, spam, fake reviews, unlawful use, or security risks,
- Client acts in violation of the law or third-party terms,
- continuation of the service cannot reasonably be expected from RecensioAI.
14.2 Suspension or termination does not affect RecensioAI's right to payment, damages, and other remedies.
15. Data, export, and retention period after termination
15.1 To the extent the Platform provides functionality for this, Client is responsible during the term for timely exporting and securing their data, reports, reviews, responses, contact details, and other information.
15.2 After termination or expiry of the agreement, Client's access right to the Platform ends, except to the extent RecensioAI temporarily grants access for an export or completion.
15.3 RecensioAI may delete or anonymize Client's data after termination. Unless otherwise agreed or legally required, RecensioAI applies a retention period of a maximum of 30 days after the end of the agreement.
15.4 RecensioAI is not liable for loss of data after the period referred to in this article has expired or if Client fails to make a timely export.
16. Intellectual property
16.1 All intellectual property rights relating to the Platform, software, source code, documentation, templates, dashboards, design, data files, AI workflows, trade names, logos, and other materials of RecensioAI belong exclusively to RecensioAI or its licensors.
16.2 Client obtains only a limited, non-exclusive, non-transferable, and revocable right of use for the duration of the agreement and solely for Client's own internal business purposes.
16.3 Data and content provided by Client remain the property of Client or their licensors. Client grants RecensioAI the right to use this data for the execution of the services for the duration of the agreement.
17. Privacy and data processing agreement
17.1 To the extent RecensioAI processes personal data, the <a href="/privacybeleid" className="text-primary hover:underline">privacy policy</a> of RecensioAI applies and, to the extent RecensioAI acts as a processor within the meaning of the GDPR, the <a href="/verwerkersovereenkomst" className="text-primary hover:underline">data processing agreement</a> between the parties also applies.
17.2 If a separate data processing agreement is available or offered, it forms an integral part of the agreement to the extent RecensioAI processes personal data on behalf of Client.
17.3 Client remains responsible for the legality of the personal data provided by them and for informing data subjects.
18. Availability, maintenance, and changes to the Platform
18.1 RecensioAI endeavors to keep the Platform reasonably available but does not guarantee uninterrupted or error-free availability, unless expressly agreed otherwise in writing in a separate SLA.
18.2 RecensioAI may perform scheduled or unscheduled maintenance and implement security updates, patches, releases, and product changes.
18.3 RecensioAI will minimize and communicate maintenance and outages where reasonable but is not liable for temporary unavailability, performance reduction, or loss of functionality as a result.
18.4 Marketing statements about uptime, performance, or security do not constitute an independent SLA or guarantee, unless expressly agreed in writing as such.
19. Warranties and exclusions
19.1 The Platform and all services are provided on a best-efforts basis and "as available."
19.2 RecensioAI does not guarantee that:
- the Platform always works without errors, completely, or without interruption,
- AI output is correct, complete, or suitable for a specific purpose,
- connections with third parties always remain in existence or unchanged,
- Client achieves a certain number of reviews, a certain score, ranking, revenue growth, or visibility,
- negative reviews are prevented, removed, or never appear publicly.
19.3 To the extent permitted by law, all implied warranties are excluded.
20. Liability
20.1 RecensioAI is only liable for direct damage that is the direct and exclusive result of an attributable shortcoming or unlawful act by RecensioAI.
20.2 RecensioAI is not liable for indirect damage, consequential damage, lost profits, missed savings, loss of goodwill, loss of data, reputational damage, damage from business interruption, damage from third-party claims, or damage resulting from decisions based on AI output or analyses.
20.3 Any liability of RecensioAI is limited to the amount that Client has actually paid to RecensioAI in the 12 months preceding the event giving rise to liability, with a maximum of the amount paid out in the specific case by a liability insurance of RecensioAI, plus the deductible, if applicable.
20.4 Claims for damages lapse if they are not reported to RecensioAI in writing and with reasons within 12 months of discovery of the damage.
20.5 The limitations in this article do not apply to damage resulting from intent or deliberate recklessness on the part of RecensioAI.
21. Indemnification
21.1 Client indemnifies RecensioAI against all claims from third parties, including regulators, platforms, customers, message recipients, and other data subjects, arising from or related to:
- Client's use of the Platform,
- content or personal data provided or processed by Client,
- sending review requests or communications without a valid legal basis,
- Client's violation of laws, regulations, or platform terms,
- claims about reviews, feedback, testimonials, campaigns, or other Client content.
21.2 This indemnification also includes reasonable costs of defense, legal assistance, and any settlements.
22. Force majeure
22.1 RecensioAI is not obliged to fulfill any obligation if it is prevented from doing so by force majeure.
22.2 Force majeure includes, but is not limited to: outages at hosting, cloud, telecom, payment, or email providers, failure of APIs or third-party services, cyber attacks, power outages, internet outages, government measures, pandemics, labor disputes, war, fire, floods, and other circumstances beyond RecensioAI's reasonable control.
22.3 If a force majeure situation lasts longer than 60 days, either party may terminate the agreement in whole or in part in writing, without obligation to pay damages.
23. Confidentiality
23.1 Parties treat confidential information received from each other in the context of the agreement as strictly confidential and use it solely for the execution of the agreement.
23.2 Information is not considered confidential to the extent that it:
- was already public without violation of a confidentiality obligation,
- was lawfully obtained from a third party,
- was independently developed without use of confidential information,
- must be disclosed by law or court order.
23.3 Login credentials, access codes, API keys, and non-public technical or commercial information of RecensioAI are in any case considered confidential.
24. Transfer, engagement of third parties, severability, and amendments
24.1 RecensioAI may engage third parties, subcontractors, and suppliers for the execution of the agreement.
24.2 RecensioAI may transfer its rights and obligations under the agreement to a group company, legal successor, or acquirer of (part of) its business, provided that the continuity of the services is not unreasonably affected.
24.3 Client may not transfer their rights and obligations under the agreement without prior written consent from RecensioAI.
24.4 If any provision of these terms is found to be void, voidable, or unenforceable, the remaining provisions remain in full force and effect. The parties will in that case agree on a replacement provision that corresponds as closely as possible to the purpose and intent of the original provision.
24.5 RecensioAI may amend these general terms and conditions. Minor changes may be implemented immediately. Material changes will be communicated to Client in advance, for example by email, via the Platform, or on the website. In the case of material changes that are substantially adverse to Client, Client may terminate the agreement as of the effective date of that change, provided RecensioAI has been informed in writing or electronically before that date.
24.6 Continued use of the Platform after the effective date of a change constitutes acceptance of the amended terms, unless Client timely cancels in accordance with the previous paragraph.
25. Applicable law and disputes
25.1 All offers, agreements, and disputes with RecensioAI are exclusively governed by Dutch law.
25.2 Parties will first endeavor to resolve a dispute by mutual consultation.
25.3 If the parties cannot reach a solution, disputes will be submitted to the competent court in the district where RecensioAI is registered, unless mandatory law provides otherwise.
